Terms of Service

Welcome. These Terms of Service (the “Terms”) govern your access to and use of the FineWinesLiquors platform, websites, subdomains, APIs, and related services (together, the “Platform”). Please read them carefully before using the Platform.

FineWinesLiquors is a software service that enables licensed alcohol retailers (“Store Operators”) to offer online ordering and in-store pickup to their customers (“Shoppers”). We provide the software; the Store Operator is the seller of record for every alcoholic-beverage transaction.

1. Agreement to these Terms

By creating an account, accessing the Platform, or placing an order, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity. If you lack that authority, you must not use the Platform on its behalf.

2. Definitions

  • “We,” “us,” “our,” “Company” mean FineWinesLiquors, the operator of the Platform.
  • “Store Operator” means any licensed alcohol retailer that subscribes to the Platform to sell products to its own customers through a FineWinesLiquors-hosted storefront.
  • “Shopper” means any individual who browses, orders, pays for, or picks up products through a Store Operator’s storefront on the Platform, whether or not registered as a customer.
  • “Storefront” means the white-labeled online store provided to a Store Operator, typically accessible at {storeSlug}.finewinesliquors.com.
  • “Products” means any goods offered for sale through a Storefront, including alcoholic beverages and related items.
  • “Content” means any text, images, product data, reviews, or other material submitted to, generated on, or displayed on the Platform.

3. Our Role as a Technology Provider

The Platform is a software-as-a-service offering. We provide the storefront, catalog, order-management, payment-routing, email, and related infrastructure that Store Operators use to conduct their own retail business.

We are not a seller, distributor, wholesaler, importer, or shipper of alcoholic beverages. We do not hold title to any Product, do not take possession of inventory, and are not a party to any sale between a Store Operator and a Shopper. Each Store Operator is the merchant of record for its own transactions.

Store Operators are responsible for: holding and maintaining all required federal, state, and local licenses; verifying age at the point of pickup; complying with applicable dram-shop and liquor-liability laws; collecting and remitting applicable taxes and container fees (including, where applicable, Connecticut bottle deposit and nip surcharge); handling returns, refunds, and customer disputes; and complying with all other laws that apply to their operations.

Because Content on Storefronts (such as product titles, pricing, descriptions, and images) is supplied and maintained by Store Operators, we rely on the protections afforded to interactive computer services under Section 230 of the Communications Act of 1934, as amended (47 U.S.C. § 230), and on analogous safe harbors.

4. Eligibility

The Platform is intended only for users located in the United States. You may use the Platform only if:

  • You are at least 21 years of age (a legal requirement for any interaction involving alcoholic beverages on the Platform);
  • You can form a binding contract with us under applicable law and are not barred from doing so under any applicable laws or sanctions lists;
  • Your use will comply with these Terms and all applicable laws and regulations; and
  • If you are a Store Operator, you hold all licenses required to lawfully sell the Products you list and you represent that those licenses are in good standing.

The Platform is not directed to, and we do not knowingly permit use by, anyone under 21 years of age. If we learn that a person under 21 has created an account, we will suspend or delete it.

5. Accounts and Security

You may be required to create an account to use certain features. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

We may refuse registration, require additional verification, or suspend or terminate any account if we suspect fraudulent, abusive, or otherwise unlawful activity, or if we believe continued access creates risk to us, to a Store Operator, or to other users.

6. Terms for Store Operators

6.1 Subscription

Access to the Platform is offered on a monthly subscription basis at the fees listed on our pricing page at the time you subscribe. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Subscription fees are non-refundable except where required by law or expressly stated in writing.

6.2 Licensing

You represent and warrant that you hold all federal (including, where applicable, Alcohol and Tobacco Tax and Trade Bureau (TTB) permits), state, and local licenses needed to sell, offer, or facilitate the sale of every Product listed on your Storefront to Shoppers in each jurisdiction from which or to which you accept orders. You will provide us with evidence of such licenses on request and notify us promptly if any license is suspended, revoked, not renewed, or otherwise terminated.

6.3 Your Content and Operations

You retain all rights to the product data, images, branding, pricing, and other Content you upload. You grant us a worldwide, non-exclusive, royalty-free license to host, cache, reproduce, adapt, and display that Content solely to operate and improve the Platform and to provide the services you have requested.

You are solely responsible for the accuracy, legality, and suitability of your Content, for setting prices and taxes, for inventory levels, for fulfilling orders, for checking customer ID at pickup, and for all communications with your Shoppers.

6.4 Payment Processing (Stripe Connect)

Online payments are processed through Stripe using a connected account that you create and control. You are the merchant of record for those payments. Payouts, chargebacks, and disputes are handled between you, your Shopper, and Stripe. You are bound by the Stripe Connected Account Agreement and related Stripe terms.

6.5 Cancellation and Termination of Operator Accounts

You may cancel your subscription at any time from your dashboard. Cancellation will take effect at the end of the current billing period. We may suspend or terminate your account immediately if you breach these Terms, if we are required to do so by law, or if your licensing status changes such that continued operation of your Storefront would be unlawful.

6.6 Compliance with Laws

You are responsible for complying with all laws applicable to your business, including but not limited to the Twenty-first Amendment to the United States Constitution, the Federal Alcohol Administration Act, TTB regulations, state alcoholic beverage control (ABC) laws, dram-shop statutes, tax laws (including sales tax and excise tax), consumer protection laws, advertising laws, data protection laws, and employment laws.

7. Terms for Shoppers

7.1 Age Gate and ID Check

You must be at least 21 years old to place an order that includes alcoholic beverages. The Platform presents an age-verification prompt before you can shop. Answering this prompt is an electronic attestation that you meet the requirement. A government-issued photo ID showing proof of age will be checked by the Store Operator at the time of pickup; if you cannot produce valid ID, or if Store personnel have a reasonable belief that you are intoxicated or that the purchase is being made for someone under 21, the order will be refused.

7.2 Order Placement

Orders placed through a Storefront are offers to purchase made to the Store Operator, not to FineWinesLiquors. Your order is not accepted until the Store Operator (or, for online prepayments, our payment pipeline on the Operator’s behalf) confirms it. Inventory levels, prices, taxes, and container fees are set by the Store Operator and may change.

7.3 Pickup and Hold Windows

Unless the Store Operator specifies otherwise: “as soon as possible” orders are held for sixty (60) minutes from the time of placement, and scheduled orders are held until thirty (30) minutes after the scheduled pickup time. Orders not picked up within those windows may be cancelled or restocked by the Store Operator, and any prepaid amount may be refunded in accordance with the Store Operator’s policy and the underlying payment-network rules.

7.4 Payment, Returns, and Refunds

Payments, receipts, returns, refund decisions, and in-store complaints are handled by the Store Operator in accordance with its own policies and applicable law. Where an online payment is refunded, the refund will be initiated through the same payment method used for the original purchase.

7.5 Cancellation of Orders

You may cancel an order prior to pickup in accordance with the Platform’s cancellation rules, which generally allow cancellation while the order is in “pending,” “confirmed,” “preparing,” or “ready for pickup” status.

7.6 Guest Checkout

If you check out as a guest, you may be issued a single-use access token that lets you view and manage that specific order for a limited time. Guard that token; anyone who has it can view or cancel the order.

8. Alcohol Sales and Regulatory Compliance

Alcoholic-beverage sales in the United States are heavily regulated at federal, state, and local levels. You agree that:

  • Sales occur between the Store Operator and the Shopper. We do not take title to, store, or physically handle any alcoholic product.
  • The Store Operator is solely responsible for determining whether it can lawfully accept and fulfill a given order (including, where applicable, verifying the Shopper’s age, state of residence, and jurisdictional restrictions).
  • Dram-shop, commercial-host, and similar statutes impose liability on the entity that furnishes alcohol. We do not furnish alcohol; the Store Operator does.
  • All pickup transactions require presentation of a valid, unexpired government-issued photo ID showing the Shopper is at least 21. A Store Operator must refuse the pickup if the Shopper cannot produce such ID or appears intoxicated.
  • Delivery (off-premises delivery by a third-party courier or the Store Operator itself) is offered only where permitted by applicable law and the Store Operator’s license. The Platform’s current pickup-first workflow does not imply that delivery is legal in your jurisdiction.

9. Prohibited Conduct

You must not, and you must not encourage anyone else to:

  • Use the Platform for any unlawful purpose or in violation of any law;
  • Use the Platform to attempt to purchase, sell, deliver, or consume alcoholic beverages if you are under 21, or attempt to facilitate such activity for anyone under 21;
  • Misrepresent your identity, age, license status, or any fact material to a transaction;
  • Access, probe, or test the vulnerability of any part of the Platform, interfere with its operation, bypass security, or use automated means to scrape, harvest, or extract data in a manner inconsistent with the Platform’s intended use;
  • Upload viruses, malware, exploits, or Content that infringes intellectual property, invades privacy, is defamatory, or is otherwise unlawful;
  • Impersonate any person or entity, or use the Platform to send unsolicited or deceptive communications;
  • Use the Platform to process chargebacks fraudulently or to launder funds;
  • Reverse-engineer, decompile, or otherwise attempt to derive source code from the Platform, except to the extent applicable law prohibits this restriction.

10. Intellectual Property

The Platform, including its software, design, text, graphics, logos, trademarks, service marks, and other proprietary materials, is owned by us or our licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose.

Nothing in these Terms transfers to you any right, title, or interest in the Platform, other than the limited license expressly granted. All rights not expressly granted are reserved.

FineWinesLiquors and associated logos are trademarks of FineWinesLiquors. Other trademarks appearing on the Platform belong to their respective owners.

11. User Content

You retain ownership of the Content you submit. By submitting Content, you grant us and our Store Operators (where applicable) a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, transmit, modify for formatting purposes, create derivative works of for formatting purposes, display, and distribute that Content, solely to operate, provide, and improve the Platform and the Storefronts.

You represent and warrant that you have all rights necessary to grant the licenses above, that your Content does not infringe or violate any third-party right, and that your Content complies with these Terms and all applicable laws.

We may remove Content that we reasonably believe violates these Terms or applicable law, but we are not obligated to monitor or remove Content except as required by law.

12. Third-Party Services

The Platform uses third-party service providers to deliver its features. These include, without limitation:

  • Stripe, Inc. — online payment processing, Stripe Connect onboarding, subscription billing, and refund handling.
  • Resend (and its underlying email infrastructure) — transactional and account-security email delivery.
  • Google Cloud (Vertex AI) — AI-assisted CSV column detection, product extraction, embedding generation, and match verification.
  • Railway — backend hosting and managed PostgreSQL.
  • Vercel — frontend hosting.

Your use of those services may also be subject to the providers’ own terms. We are not responsible for the acts or omissions of third-party providers, except as required by law.

13. Payment Processing

Online payments made by Shoppers are charged via Stripe and routed as destination charges to the Store Operator’s connected Stripe account. The Store Operator is the merchant of record for each such charge and is responsible for fulfillment, customer service, disputes, chargebacks, and tax obligations. Subscription fees owed by Store Operators to FineWinesLiquors are separately billed and collected.

We do not store full payment-card numbers on our servers. Card data is collected and stored by Stripe in a PCI-DSS-compliant environment.

14. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

15. Service Availability and Changes

We strive to keep the Platform available, but we do not guarantee uninterrupted access. The Platform may be unavailable from time to time for maintenance, upgrades, emergencies, failures of third-party providers, network conditions, or other events beyond our reasonable control.

We may add, modify, suspend, or discontinue features at any time, with or without notice. Where a change materially reduces the Platform’s functionality for a Store Operator, we will endeavor to provide reasonable advance notice by email or in-product notification.

16. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, accuracy of data, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Platform will be error-free, secure, uninterrupted, timely, or free of viruses or other harmful components, or that defects will be corrected.

We make no warranties regarding Products listed on Storefronts. All such warranties, if any, are provided solely by the applicable Store Operator or the product’s manufacturer.

17. Limitation of Liability

To the maximum extent permitted by law:

  • Indirect damages are excluded. We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; for any loss of profits, revenue, business, goodwill, data, or data use; for any cost of substitute goods or services; or for any damages arising from acts or omissions of Store Operators, Shoppers, or third parties — even if we have been advised of the possibility of such damages.
  • Aggregate cap. Our aggregate liability to you for all claims arising out of or relating to these Terms or the Platform, whether in contract, tort (including negligence), warranty, statute, or otherwise, is limited to the greater of (a) the total fees you paid to us for access to the Platform in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
  • Alcohol sales. We are not a seller of alcoholic beverages. We have no liability for the furnishing, service, consumption, or misuse of any alcoholic beverage sold through a Storefront, including under any dram-shop, commercial-host, or analogous statute.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.

18. Indemnification

You will defend, indemnify, and hold harmless FineWinesLiquors, its affiliates, and their respective directors, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the Platform; (b) your Content; (c) your violation of these Terms or any applicable law; (d) your violation of any third-party right, including intellectual-property, privacy, or publicity rights; (e) for Store Operators, any dispute with a Shopper, any product or service sold through your Storefront, and any act or omission in connection with an alcohol-beverage sale; and (f) for Shoppers, any dispute with a Store Operator arising from an order you placed.

We may, at our option, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense. You may not settle any indemnified claim without our prior written consent.

19. Suspension and Termination

We may suspend or terminate your access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or others, or if we are required to do so by law.

On termination: (a) your right to use the Platform ends; (b) we may retain or delete your Content in accordance with our data-retention practices; and (c) the provisions of these Terms that by their nature should survive termination (including the intellectual-property, disclaimer, limitation-of-liability, indemnification, and dispute-resolution sections) will survive.

20. Disputes, Arbitration, and Class-Action Waiver

Please read this section carefully. It requires most disputes between you and us to be resolved through individual arbitration rather than in court, and waives your right to participate in class or representative actions.

20.1 Informal Resolution

Before filing any arbitration or lawsuit, you agree to first contact us at support@finewinesliquors.com with a written description of your dispute. We will attempt to resolve the dispute informally within sixty (60) days of receipt.

20.2 Binding Arbitration

If a dispute is not resolved informally, you and we agree that it will be resolved by binding arbitration on an individual basis, administered by a nationally recognized arbitration provider (such as the American Arbitration Association) under its then-current consumer or commercial rules, as applicable. The arbitration will be conducted in English.

20.3 Class-Action Waiver

You and we each waive the right to bring or participate in any class, collective, or representative action against the other. If this waiver is held unenforceable in a particular case, the arbitration agreement in that case is null and void; the remainder of this Section remains in force.

20.4 Exceptions

Nothing in this Section prevents either party from (a) seeking relief in a small-claims court for claims within its jurisdiction, or (b) seeking equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual-property rights or violations of confidentiality obligations.

21. Governing Law and Venue

These Terms and any dispute arising out of or in connection with them are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to the arbitration agreement in Section 20, the exclusive venue for any court proceeding permitted under these Terms will be the state or federal courts located in Delaware, and each party submits to the personal jurisdiction of those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, for material changes, take reasonable steps to notify you (for example, by email or an in-product notice). Your continued use of the Platform after the changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

23. Miscellaneous

23.1 Entire Agreement

These Terms, together with the Privacy Policy and any order form, subscription, or policy referenced here, constitute the entire agreement between you and us regarding the Platform and supersede all prior or contemporaneous understandings.

23.2 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

23.3 No Waiver; Severability

Our failure to enforce any provision is not a waiver. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

23.4 Force Majeure

Neither party will be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, labor disputes, natural disasters, pandemics, terrorism, war, cyberattacks, utility failures, and third-party service outages.

23.5 Relationship of the Parties

Nothing in these Terms creates an agency, partnership, joint-venture, employment, or fiduciary relationship between you and us.
